Completion of this form is required for participation, even if you have already submitted a previous NDA provided to potential investors.Ā
After Submission you will be NDA tagged and taken to a confirmation page with further instructions and a direct link to the Community Group and Meetup RSVP.Ā
Non-Disclosure Agreement
This Non-Disclosure Agreement ("Agreement") is entered into as of the date of submission between CEI Limited ("Company"), a Nevada company with principal offices in Las Vegas, Nevada, and the undersigned participant ("Recipient").
1. Purpose Company may disclose certain confidential and proprietary information to Recipient in connection with the Nexus Casino Games App Early Adopters Program, including participation in development discussions, testing, and feedback sessions.
2. Confidential Information "Confidential Information" means all non-public information disclosed by Company, including but not limited to: business plans, technical specifications, game designs, financial information, marketing strategies, user data, development timelines, and any other information that would reasonably be considered confidential.
3. Obligations Recipient agrees to:
- Hold all Confidential Information in strict confidence
- Use Confidential Information solely for participation in the Early Adopters Program
- Not disclose Confidential Information to any third party without Company's prior written consent
- Take reasonable precautions to protect the confidentiality of such information
4. Exclusions This Agreement does not apply to information that: (a) is or becomes publicly available through no breach by Recipient, (b) was known to Recipient prior to disclosure, (c) is independently developed by Recipient, or (d) is required to be disclosed by law.
5. Term This Agreement remains effective for 3 years from the date of submission or until the Nexus App becomes publicly available, whichever occurs first.
6. Return of Information Upon Company's request, Recipient will return or destroy all materials containing Confidential Information.
7. Governing Law This Agreement is governed by Nevada law, with jurisdiction in Clark County, Nevada.
